THE AGREEMENT

The use of this website and services on this website provided by Speed Assembly Services Ltd (hereinafter referred to as "Website") are subject to the following Terms & Conditions, all parts and sub-parts of which are specifically incorporated by reference here. This Agreement shall govern the use of all pages on this website (hereinafter collectively referred to as "Website") and any services provided by or on this Website ("Services").


DEFINITIONS

“Agreement” denotes to this Terms and Conditions and the Privacy Policy and other documents provided to you by the Website.

“We,” “us,” and “our” are Speed Assembly Services Ltd.

“The Seller” means Speed Assembly Services Ltd

“The Buyer” is the person, firm or company ordering the Goods from the Seller

“The Goods” are all and any of the apparatus or article(s) detailed on the Buyer's order

“The Contract” means the contract for sale and purchase of the Goods made between the Seller and the Buyer to which the Condition and the Special Conditions apply.

“We,” “us,” and “our” are references to SASPCB.CO.UK.

“User,” “You,” and “your” denotes the person who is accessing the website for taking or availing of any service from us. User shall include the company, partnership, sole trader, person, body corporate, or association taking services of this Website.

“Website” shall mean and include saspcb.co.uk and any successor Website of the Company or any of its affiliates.

Parties: Collectively, the parties to this Agreement (We and You) will be referred to as Parties.


ASSENT & ACCEPTANCE

PLEASE READ THESE TERMS OF USE, OUR PRIVACY POLICY, AND ALL APPLICABLE SUPPLEMENTAL TERMS (COLLECTIVELY, THE "TERMS") CAREFULLY, AS THEY CONTAIN TERMS AND CONDITIONS THAT IMPACT YOUR RIGHTS, OBLIGATIONS, AND REMEDIES IN CONNECTION WITH YOUR USE OF THE SERVICES AND CONTENT. FOR EXAMPLE, THE TERMS INCLUDE:

  • • YOUR OBLIGATION TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS.
  • • LIMITATIONS OF OUR LIABILITY TO YOU; AND
  • • A REQUIREMENT THAT YOU PURSUE CLAIMS OR SEEK RELIEF AGAINST US (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, RATHER THAN AS A PARTICIPANT IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.

YOUR ACCESS TO AND USE OF THE SERVICES IS CONDITIONED ON YOUR ACCEPTANCE OF AND COMPLIANCE WITH ALL APPLICABLE TERMS. If you do not agree to these Terms or our Privacy Policy, then please cease using the Services immediately. We reserve the right to change these Terms at any time (see “Changes to these Terms” below.) By accessing, browsing, and/or using the Services after updates to these Terms have been posted, you agree to be bound by the updated Terms. THESE TERMS AND OUR PRIVACY POLICY CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND SPEED ASSEMBLY SERVICES LTD.


CONSEQUENCES OF NON-COMPLIANCE

Your failure to comply with the Terms may result in the suspension or termination of your account and/or access to the Services and may subject you to civil and criminal penalties.


ACCURACY OF INFORMATION

Occasionally there may be information on the Website that contains typographical errors, inaccuracies, or omissions that may relate to user descriptions, pricing, availability, promotions, and offers. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and conditions at any time and for any reason. We undertake no obligation to update, amend or clarify information on the Website, including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or Services has been modified or updated. Please ensure that you check the applicable Terms every time you use our site so that you understand which Terms apply. You will be subject to and will be deemed to have been made aware of and to have accepted the changes in any revised Terms and conditions by your continued use of the site after the date such revised Terms and conditions are posted.


APPLICATION

The Condition and any Special Conditions (if any) shall prevail over any inconsistent terms or conditions referenced in the Buyer's order, correspondence, or elsewhere, and all contrary conditions or stipulations are hereby excluded and extinguished. These general conditions of sale supersede any other terms, representations, or assurances contained in the Seller's sale literature and (save where such terms are expressly stated in any written quotation or acceptance of an order by the Seller) shall supersede and exclude any other terms, representations, or assurances stipulated or referred to by the Buyer, whether in its order or in any negotiations or course of dealings established between the Seller and the Buyer. All subsequent orders placed by the Buyer are deemed to be subject to these terms.

No modification of these general terms and conditions of sale shall be effective unless expressly agreed to in writing by a Director of the Seller.

The Buyer shall provide the Seller with a copy of any drawings, photography, specifications, dimensions, or the like upon which the Buyer requires the Goods to be manufactured ("Technical Data") with each order for the Goods. The Seller is not responsible for verifying the accuracy of any such Technical Data and may rely on the Buyer's accuracy. The Buyer shall have no claim against the Seller for any defect in the Goods or for any loss incurred by the Buyer because of any error or omission in the Technical Data.


QUOTATIONS AND ORDERS

Due to the volatility of component pricing; any quotation issued by the Seller in response to the Buyer's initial inquiry is valid only for the date of issue, and the Seller will generally avoid cancelling or revising the quotation during this period.

The Seller's quotations do not constitute an offer to sell the Goods.

Any order for an article must be in writing, and any order placed by the Buyer, whether in response to the Seller's quotation, constitutes an offer to the Seller subject to these Conditions and Special Conditions. The Buyer is responsible for ensuring that the order terms and any Special Conditions are accurate and complete.

The order is not deemed accepted until the Seller issues a written acceptance specifying the price of the Goods and the anticipated delivery date(s), at which point the contract comes into existence.


PRICES

The Seller's acceptance of the order shall specify the price of the Goods. The Seller reserves the right, by written notice to the Buyer, to revise upward or downward the price of the Goods, the terms offered to any class of customer, or the prices set out in any quotation or Special Condition to reflect any increase in cost, including (without limitation) the cost of acquisition of any part of the Goods, including raw materials, carriage, labour, or other overheads, the increase or imposition of any tax.

If, as a result of any law, government order, or regulation, the price, cost of carriage, freight allowance, and/or terms of payment hereunder, or any increase, change, or variation thereto, or the Seller's right to require or receive any such payments, are altered, prohibited, or restricted in any way, the Seller may immediately terminate the contract by written notice to the Buyer.

All prices are exclusive of carriage and packing costs, value-added tax, and any other taxes, duties, or fees payable in connection with the supply of Goods under this Agreement, which shall be added at the rate in effect at the time of dispatch. Subject to receipt of an invoice, the Buyer shall be liable to pay or reimburse the Seller for all taxes, duties, and fees incurred in connection with the supply of the Goods hereunder.


INSPECTION AND REJECTION

The Buyer shall immediately inspect the Goods upon receipt. The Buyer shall not be entitled to reject the Goods due to late delivery, incorrect delivery, or damage to the Goods unless and until the Buyer gives the Seller written notice of rejection within seven days of the date of delivery. The Buyer shall not be entitled to reject the goods if the goods have been used, processed, or combined with other products in any way or if the goods have been sold.


CONFORMITY OF GOODS

We take great care to ensure that the product descriptions and specifications are accurate at the time of publication. However, the specifications and descriptions of products on this Website are not intended to be binding and are solely for the purpose of providing an overview of the products.


USER OBLIGATIONS

As a user of the Website or Services, you may be asked to register with us. When you do so, you will choose a user identifier, which may be your email address or another term, as well as a password. You may also provide personal information, including, but not limited to, your name. You are responsible for ensuring the accuracy of this information. This identifying information will enable you to use the Website and Services. Speed Assembly Services Ltd reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Speed Assembly Services Ltd in asserting any available defences. An Indemnified Party may participate in the defence by counsel of its own choosing, at its own cost and expense. You shall not settle any claim that adversely affects an Indemnified Party or imposes any obligation or liability on an Indemnified Party without the Indemnified Party's prior written consent.


EXCLUSION OF LIABILITY
